FIELDGRID TECHNOLOGIES, INC. TERMS OF SERVICE

1. AGREEMENT TO TERMS 


These Terms of Service (“Terms of Service”, “Terms”) constitute a legally binding agreement  made between you, whether personally or on behalf of an entity (“you”) and FieldGrid  Technologies, Inc. (“FieldGrid”, “Company”, “we”, “us”, or “our”), concerning your access to  and use of:

 

- the website located at https://fieldgrid.io and any subdomains, and 

- any related web application, mobile application, media channel, or other online service  that links to these Terms 


(collectively, the “Site” or the “Services”). 


FieldGrid Technologies, Inc. is a corporation organized under the laws of the United States  and the State of Delaware, with a principal mailing address at 7323 Hanover Parkway, Suite  C, Greenbelt, Maryland, 20770.

 

By accessing or using the Site or Services, you acknowledge that you have read, understood,  and agree to be bound by all of these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE  TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE OR SERVICES AND  MUST IMMEDIATELY DISCONTINUE USE.

 

Additional terms and conditions, subscription agreements, order forms, DPAs, or  documents that may be presented to you in connection with specific features or paid plans  (collectively, “Supplemental Terms”) are incorporated into these Terms by reference. In the  event of a conflict between these Terms and any Supplemental Terms executed by you and  FieldGrid, the Supplemental Terms shall control for the subject matter they address. 


We reserve the right, in our sole discretion, to revise or modify these Terms at any time and  for any reason. We will update the “Last Updated” date when changes are made. By  continuing to access or use the Site or Services after updated Terms are posted, you agree to  the revised Terms and waive any right to receive specific notice of any such changes. You  are responsible for reviewing these Terms periodically. 


The Site and Services are not intended for distribution to or use by any person or entity in  any jurisdiction where such distribution or use would be contrary to law or regulation or  would subject us to any registration or licensing requirement. Anyone who chooses to  access the Site or Services from outside the United States does so on their own initiative and  is solely responsible for compliance with local laws.


The Site and Services are intended for users who are at least 18 years of age. Persons under  18 are not permitted to use or register for the Site or Services. 


2. INTELLECTUAL PROPERTY RIGHTS 


Unless otherwise indicated, the Site, the Services, and all content therein are owned or  controlled by us or licensed to us and are protected by intellectual property laws, including,  without limitation, copyright, trademark, and trade secret laws of the United States and  abroad. 


For purposes of these Terms, “Content” includes, without limitation: 


- source code, object code, APIs, and software; 

- database structures and schemas; 

- web app and mobile app designs, layouts, and UX flows; 

- text, copy, documentation, and help content; 

- graphics, logos, icons, and branding elements; 

- audio, video, animations, and other media. 


Our names, logos, product names, service names, branding, and related designs are  trademarks or service marks of FieldGrid (the “Marks”). You may not use the Marks without  our prior written permission. 


The Content and Marks are provided on an “AS IS” basis for your use of the Services in  accordance with these Terms. Except as expressly provided in these Terms, no part of the  Site, Services, Content, or Marks may be copied, reproduced, aggregated, republished,  uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold,  licensed, or otherwise exploited for any commercial purpose without our prior written  consent. 


Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non transferable, revocable license to access and use the Site and Services and to download or  print a copy of any Content to which you have properly gained access solely for your  internal business use. We reserve all rights not expressly granted.

 

3. USER REPRESENTATIONS 


By accessing or using the Site or Services, you represent and warrant that: 


1. All registration information you submit is true, accurate, current, and complete.

2. You will maintain the accuracy of such information and promptly update it as needed.

3. You have the legal capacity and authority to enter into and comply with these Terms.

4. You are not a minor in the jurisdiction in which you reside and are at least 18 years old.

5. You will not access the Site or Services via automated or non-human means (bots, scripts,  scrapers) except through authorized APIs or integrations explicitly provided by FieldGrid.

6. You will not use the Site or Services for any illegal or unauthorized purpose.

7. Your use of the Site and Services does not and will not violate any applicable law,  regulation, or contractual obligation. 


If any information you provide is untrue, inaccurate, not current, or incomplete, we may  suspend or terminate your account and refuse any and all current or future use of the Site  or Services. 


4. USER REGISTRATION 


You may be required to register an account (“Account”) to access certain features of the Site  or Services. Where the Services are used by a company or organization, your Account may  be linked to a company-level or organization-level subscription. 


You agree to: 


- keep your login credentials confidential; 

- not share your password or allow others to use your Account; 

- immediately notify us of any unauthorized access or use of your Account. 


You are responsible for all activities that occur under your Account, whether or not  authorized by you. 


We reserve the right, in our sole discretion, to remove, reclaim, or require you to change a  username if we determine it is inappropriate, misleading, infringing, obscene, or otherwise  objectionable.

 

5. PROHIBITED ACTIVITIES 


You may only use the Site and Services for their intended purposes: managing projects,  documenting field work, storing and sharing job data, collaborating with your team, and  using our tools and AI features to support business operations. 


You may not use the Site or Services: 


• for any purpose that violates applicable law or regulation; 

• in connection with any commercial activity not expressly authorized by us; • in any way that interferes with the normal operation of the Site or Services or  imposes an unreasonable load on our infrastructure. 


Without limiting the foregoing, you agree not to


• Systematically retrieve data or other content from the Site to create a collection,  database, or directory without our written permission. 

• Engage in any deceptive, fraudulent, or misleading activity, including attempts to  obtain sensitive information such as passwords or API keys. 

• Attempt to bypass, disable, or interfere with any security-related features of the  Site, including access controls or usage limits.

• Use the Site or Services to harass, abuse, stalk, threaten, or otherwise harm others. • Misuse our support channels or submit false claims of abuse, bugs, or security  issues. 

• Upload or transmit any virus, worm, malware, Trojan horse, logic bomb, or other  harmful code. 

• Use automated tools (scrapers, crawlers, bots) to access the Site except through  documented, authorized APIs. 

• Impersonate any person or entity or misrepresent your affiliation with any person  or entity. 

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of  any part of the Services, except where permitted by law. 

• Copy, adapt, translate, or otherwise create derivative works based on the Site or  its software. 

• Use the Site or Services to monitor availability, performance, or functionality for  competitive analysis, benchmarking, or building a competing product.

• Collect or harvest email addresses or other contact information for the purpose of  sending unsolicited communications. 

• Sell or otherwise transfer your Account, profile, or access credentials. 


Any use of the Site or Services in violation of this Section may result in suspension or  termination of your Account and may expose you to civil and/or criminal liability. 


6. USER GENERATED CONTRIBUTIONS 


FieldGrid is a data-heavy platform. The Site and Services may allow you and other users  (including your teammates and employees) to submit, upload, store, or share content and  materials, including but not limited to: 


• job notes, project information, and work orders; 

• photos, videos, PDFs, drawings, and site documentation; 

• form submissions, checklists, and reports; 

• comments, messages, and other communications; 

• AI-assisted outputs generated from your inputs and project data 


(collectively, “Contributions”). 


Contributions may be visible to other users within your organization or workspace and,  depending on your configuration, to other third parties you authorize (e.g., clients or  subcontractors). Contributions will be handled in accordance with our Privacy Policy and  any applicable Supplemental Terms. 


By submitting or making Contributions available, you represent and warrant that: 


• You own or control all necessary rights in and to your Contributions, or you have  obtained all necessary permissions, consents, and licenses to use them and to  grant us the rights described in these Terms.

• Your Contributions do not infringe upon any third-party intellectual property,  privacy, publicity, or other rights. 

• Your Contributions are accurate, not misleading, and compliant with all  applicable laws and regulations. 

• Your Contributions are not defamatory, obscene, hateful, harassing, or otherwise  objectionable. 

• Your Contributions do not contain illegal content, including child sexual abuse  material or content intended to incite violence. 

• Your Contributions do not contain viruses, malware, or other harmful code. • Your Contributions do not violate these Terms or any applicable laws. 


You are solely responsible for your Contributions and for configuring who within your  organization can see them. We are not responsible for how your organization uses or  shares Contributions internally or externally. 


We may, but are not obligated to, monitor or review Contributions. We reserve the right  to remove or restrict access to any Contributions we determine, in our sole discretion, to  be inappropriate, illegal, or in violation of these Terms. 


7. CONTRIBUTION LICENSE 


You retain full ownership of your Contributions and any associated intellectual property  rights, subject to the rights you grant to us below. 


By uploading, submitting, or otherwise making Contributions available through the Site  or Services, you grant FieldGrid a non-exclusive, worldwide, royalty-free,  sublicensable, and transferable license to:

 

• host, store, process, and display your Contributions; 

• transmit your Contributions as necessary to provide the Services (including to  your authorized users, integrated tools, or processors); 

• use your Contributions to power features such as AI suggestions, automated  drafting, reporting, and analytics within your organization; 

• create aggregated or de-identified data sets derived from your Contributions for  product improvement, benchmarking, and analytics (in a manner that does not  identify you or your company). 


We do not claim ownership of your Contributions, and nothing in these Terms shall be  construed as restricting your ability to use your Contributions in your business or with  other tools. 


If you submit suggestions, feature requests, or feedback about the Site or Services  (“Feedback”), you agree that we may use such Feedback for any purpose (including  product development) without compensation or obligation to you, and you hereby assign  all rights in such Feedback to FieldGrid.


8. SOCIAL MEDIA AND THIRD-PARTY ACCOUNTS 


The Services may allow you to connect your Account with third-party platforms or  services (each, a “Third-Party Account”), such as: 


• Google Workspace (Drive, Calendar, etc.); 

• Microsoft 365; 

• Slack, Microsoft Teams, or other messaging tools; 

• Cloud storage providers; 

• SSO / identity providers. 


By linking a Third-Party Account, you represent and warrant that: 


• You are authorized to disclose your Third-Party Account credentials to us;

• Linking and granting us access does not violate the terms and conditions of that  Third-Party Account; 

• You understand we may access, store, and use certain information from that  Third-Party Account as permitted by your settings and our integrations. 


Depending on the integration, we may read, store, and/or synchronize data from your  Third-Party Account for use within FieldGrid (e.g., files, emails, contacts, calendars, or  messages). 


Your relationship with each third-party provider is governed solely by your agreement(s)  with that provider. We are not responsible for any acts or omissions of such third parties.  You can disable integrations at any time in your settings, but this may affect  functionality. 


9. SUBMISSIONS 


Any questions, comments, suggestions, ideas, proposals, or other information about the  Site or Services that you provide to us outside of the normal Contributions workflow  (collectively, “Submissions”) are considered non-confidential. 


You agree that: 


• FieldGrid shall own all rights, title, and interest in and to such Submissions;

• We may use and fully exploit the Submissions for any lawful purpose,  commercial or otherwise, without acknowledgment or compensation to you;

• You waive any moral rights you may have in such Submissions. 


You represent and warrant that your Submissions are original to you or that you have the  right to submit such Submissions and that the Submissions do not infringe any third-party  rights.


10. THIRD-PARTY WEBSITES AND CONTENT 


The Site and Services may contain links to third-party websites, resources, content, or  services (“Third-Party Websites” and “Third-Party Content”). We do not control and  are not responsible for Third-Party Websites or Third-Party Content. 


We do not: 


• monitor Third-Party Websites or Third-Party Content for accuracy, completeness,  or legality; 

• endorse any Third-Party Websites, Third-Party Content, products, or services. 


If you access Third-Party Websites or use Third-Party Content, you do so at your own  risk. Your use of Third-Party Websites is governed by their respective terms and policies,  not these Terms. 


Any transactions you engage in with third parties are solely between you and the  applicable third party. We are not liable for any loss or damage arising from your  interactions with Third-Party Websites or Third-Party Content.

 

11. SITE AND SERVICE MANAGEMENT 


We reserve the right, but not the obligation, to: 


1. Monitor the Site and Services for violations of these Terms. 

2. Take appropriate legal action, including reporting to law enforcement, for any  illegal or unauthorized use of the Site or Services. 

3. Refuse, restrict access to, limit the availability of, or disable any Contributions or  Accounts that, in our sole judgment, violate these Terms or pose a risk.

4. Remove or disable any files or content that are excessive in size or burdensome to  our systems. 

5. Manage the Site and Services in a manner designed to protect our rights and  property and to ensure the proper functioning of the platform. 


12. PRIVACY POLICY 


We care about data privacy and security. Please review our Privacy Policy available at: https://fieldgrid.io/privacy-policy 


By using the Site or Services, you agree to be bound by our Privacy Policy, which is  incorporated into these Terms by reference. 


Please note that the Site and Services are hosted in the United States. If you access the  Site from outside the United States and your local laws govern data differently, you acknowledge that you are transferring your data to the United States and consent to such  transfer and processing. 


13. TERM AND TERMINATION

 

These Terms remain in full force and effect while you use the Site or Services. 


WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE  RESERVE THE RIGHT, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR  LIABILITY, TO DENY ACCESS TO AND USE OF THE SITE OR SERVICES  (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR  ANY REASON OR FOR NO REASON, INCLUDING, WITHOUT LIMITATION, FOR  BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT  CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR  REGULATION. 


We may terminate your use of or participation in the Site or Services or delete your  Account and any content or data associated with it at any time, in our sole discretion,  without warning. 


If we suspend or terminate your Account, you may not register or create a new Account  under your name, a fake identity, or the name of any third party, even if you are acting on  behalf of that third party. 


In addition to termination, we reserve the right to pursue any legal or equitable remedies  available. 


14. MODIFICATIONS AND INTERRUPTIONS 


We reserve the right to: 


• change, modify, or remove the contents of the Site or Services at any time for any  reason; 

• modify, suspend, or discontinue all or part of the Services without notice.

 

We have no obligation to update any information on the Site. We will not be liable for  any modification, price change, suspension, or discontinuation of the Site or Services. 


We cannot guarantee the Site or Services will be available at all times. We may  experience outages, infrastructure failures, maintenance windows, feature rollouts, or  other issues that result in interruptions or errors. 


You agree that we have no liability whatsoever for any loss, damage, or inconvenience  caused by your inability to access or use the Site or Services during any downtime or  discontinuance. Nothing in these Terms obligates us to maintain or support the Site or  Services or to provide updates.


15. GOVERNING LAW 


These Terms and your use of the Site and Services are governed by and construed in  accordance with the laws of the State of Delaware, without regard to its conflict of law  principles. 


You and FieldGrid agree to submit to the exclusive jurisdiction of the state and federal  courts located in Delaware for any dispute arising out of or relating to these Terms or the  Services, except as otherwise set forth in any applicable arbitration provision. 


16. DISPUTE RESOLUTION 
Informal Resolution 


To help control costs and encourage efficient resolution, you agree that before initiating  any legal claim or formal proceeding against us (other than those related to intellectual  property or injunctive relief), you will first contact us in writing at legal@fieldgrid.io and attempt to resolve the dispute informally. If the parties cannot resolve the dispute  within 60 days of such notice, either party may proceed with formal dispute resolution. 

Restrictions 


To the fullest extent permitted by law: 

• Arbitration shall be conducted on an individual basis only; 

• No class actions, class arbitrations, or representative actions are permitted;

• You and FieldGrid each waive the right to participate as a plaintiff or class  member in any purported class or representative proceeding. 

Exceptions 


The following disputes are not subject to informal negotiation and binding arbitration: 


• Claims to enforce or protect a party’s intellectual property rights;

• Claims seeking injunctive or equitable relief; 

• Claims relating to unauthorized use, data theft, or security breaches where  emergency relief is sought. 


If a court determines that the arbitration limitations in this Section are unenforceable for a  particular claim, then that claim shall proceed exclusively in the courts specified in  Section 15.


17. CORRECTIONS 


The Site may contain information that includes typographical errors, inaccuracies, or  omissions, including, without limitation, descriptions, pricing, availability, or other  information. We reserve the right to correct any errors, inaccuracies, or omissions and to  change or update information at any time, without prior notice. 


18. DISCLAIMER 


THE SITE AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND  SERVICES IS AT YOUR SOLE RISK. 


TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL  WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION,  IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A  PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 


WITHOUT LIMITATION, WE DO NOT WARRANT OR REPRESENT THAT: 


1. THE SITE OR SERVICES WILL BE SECURE, ERROR-FREE, OR  UNINTERRUPTED; 

2. ANY DEFECTS OR ERRORS WILL BE CORRECTED; 

3. THE CONTENT OR DATA PROVIDED THROUGH THE SERVICES WILL  BE ACCURATE, RELIABLE, OR COMPLETE; 

4. THE SERVICES WILL MEET YOUR REQUIREMENTS OR  EXPECTATIONS. 


FIELDGRID PROVIDES TOOLS, AUTOMATION, AND AI-ASSISTED FEATURES  THAT MAY GENERATE SUGGESTIONS, SUMMARIES, OR OTHER OUTPUTS.  SUCH OUTPUTS MAY CONTAIN ERRORS OR BE INACCURATE. YOU ARE  SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ANY OUTPUTS  AND FOR ALL DECISIONS MADE IN RELIANCE ON THEM. 


WE ARE NOT RESPONSIBLE FOR ANY THIRD-PARTY CONTENT, WEBSITES,  OR SERVICES LINKED TO OR INTEGRATED WITH THE SITE OR SERVICES.

 

19. LIMITATIONS OF LIABILITY 


TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE  OR OUR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS  BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT,  CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE  DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA,  BUSINESS INTERRUPTION, OR OTHER DAMAGES ARISING FROM OR 

RELATING TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE  BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN,  OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR  RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES  SHALL NOT EXCEED THE GREATER OF: 


• THE AMOUNT PAID BY YOU TO US FOR THE SERVICES IN THE THREE  (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

ONE HUNDRED U.S. DOLLARS (US $100)


SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED  WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES.  IF THOSE LAWS APPLY TO YOU, SOME OF THE ABOVE LIMITATIONS MAY  NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS. 


20. INDEMNIFICATION

 

You agree to defend, indemnify, and hold harmless FieldGrid, its subsidiaries, affiliates,  and all of their respective officers, directors, employees, contractors, and agents from and  against any and all claims, losses, liabilities, damages, costs, and expenses (including  reasonable attorneys’ fees) arising out of or relating to: 


1. Your use of the Site or Services; 

2. Your breach of these Terms; 

3. Your Contributions and Submissions; 

4. Your violation of any third-party rights, including intellectual property, privacy,  or publicity rights; 

5. Any harmful act toward any other user or third party with whom you interact via  the Services. 


We reserve the right, at your expense, to assume the exclusive defense and control of any  matter for which you are required to indemnify us, and you agree to cooperate in our  defense of such claims. 


21. USER DATA 


We will maintain certain data that you transmit to the Site or Services in connection with  operating and improving the platform, as described in our Privacy Policy. 


Although we perform routine backups, you are solely responsible for maintaining your  own copies and backups of any data or Contributions you submit. We are not liable for  any loss or corruption of data, and you waive any right of action against us arising from  any such loss or corruption.


If your subscription or Account terminates, we may, but are not obligated to, retain your  data for a limited period for legal, compliance, or backup purposes, after which it may be  deleted or anonymized. 


22. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES 


Visiting the Site, creating an Account, using the Services, sending us emails, or  completing online forms constitute electronic communications. You consent to receive  electronic communications and agree that all agreements, notices, disclosures, and other  communications we provide electronically satisfy any legal requirement that such  communication be in writing. 


YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS,  ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF  NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR  COMPLETED THROUGH THE SERVICES.

 

You waive any rights or requirements under any laws requiring an original (non electronic) signature or the delivery or retention of non-electronic records. 


23. MISCELLANEOUS 


These Terms, together with any Supplemental Terms and policies posted on the Site or  otherwise provided to you, constitute the entire agreement between you and FieldGrid  with respect to the Services. 


Our failure to enforce any right or provision of these Terms shall not operate as a waiver  of such right or provision. 

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that  provision shall be deemed severable and shall not affect the validity or enforceability of  any remaining provisions. 


We may assign any or all of our rights and obligations under these Terms to others at any  time. You may not assign or transfer your rights or obligations without our prior written  consent. 


No joint venture, partnership, employment, or agency relationship is created between you  and FieldGrid as a result of these Terms or your use of the Services. 


You agree that these Terms will not be construed against us by virtue of having drafted them.

In the  event of a conflict between these Terms and any Supplemental Terms executed by you and  FieldGrid, the Supplemental Terms shall control for the subject matter they address. 


We reserve the right, in our sole discretion, to revise or modify these Terms at any time and  for any reason. We will update the “Last Updated” date when changes are made. By  continuing to access or use the Site or Services after updated Terms are posted, you agree to  the revised Terms and waive any right to receive specific notice of any such changes. You  are responsible for reviewing these Terms periodically. 


The Site and Services are not intended for distribution to or use by any person or entity in  any jurisdiction where such distribution or use would be contrary to law or regulation or  would subject us to any registration or licensing requirement. Anyone who chooses to  access the Site or Services from outside the United States does so on their own initiative and  is solely responsible for compliance with local laws.


The Site and Services are intended for users who are at least 18 years of age. Persons under  18 are not permitted to use or register for the Site or Services. 


2. INTELLECTUAL PROPERTY RIGHTS 


Unless otherwise indicated, the Site, the Services, and all content therein are owned or  controlled by us or licensed to us and are protected by intellectual property laws, including,  without limitation, copyright, trademark, and trade secret laws of the United States and  abroad. 


For purposes of these Terms, “Content” includes, without limitation: 


- source code, object code, APIs, and software; 

- database structures and schemas; 

- web app and mobile app designs, layouts, and UX flows; 

- text, copy, documentation, and help content; 

- graphics, logos, icons, and branding elements; 

- audio, video, animations, and other media. 


Our names, logos, product names, service names, branding, and related designs are  trademarks or service marks of FieldGrid (the “Marks”). You may not use the Marks without  our prior written permission. 


The Content and Marks are provided on an “AS IS” basis for your use of the Services in  accordance with these Terms. Except as expressly provided in these Terms, no part of the  Site, Services, Content, or Marks may be copied, reproduced, aggregated, republished,  uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold,  licensed, or otherwise exploited for any commercial purpose without our prior written  consent. 


Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non transferable, revocable license to access and use the Site and Services and to download or  print a copy of any Content to which you have properly gained access solely for your  internal business use. We reserve all rights not expressly granted.

 

3. USER REPRESENTATIONS 


By accessing or using the Site or Services, you represent and warrant that: 


1. All registration information you submit is true, accurate, current, and complete.

2. You will maintain the accuracy of such information and promptly update it as needed.

3. You have the legal capacity and authority to enter into and comply with these Terms.

4. You are not a minor in the jurisdiction in which you reside and are at least 18 years old.

5. You will not access the Site or Services via automated or non-human means (bots, scripts,  scrapers) except through authorized APIs or integrations explicitly provided by FieldGrid.

6. You will not use the Site or Services for any illegal or unauthorized purpose.

7. Your use of the Site and Services does not and will not violate any applicable law,  regulation, or contractual obligation. 


If any information you provide is untrue, inaccurate, not current, or incomplete, we may  suspend or terminate your account and refuse any and all current or future use of the Site  or Services. 


4. USER REGISTRATION 


You may be required to register an account (“Account”) to access certain features of the Site  or Services. Where the Services are used by a company or organization, your Account may  be linked to a company-level or organization-level subscription. 


You agree to: 


- keep your login credentials confidential; 

- not share your password or allow others to use your Account; 

- immediately notify us of any unauthorized access or use of your Account. 


You are responsible for all activities that occur under your Account, whether or not  authorized by you. 


We reserve the right, in our sole discretion, to remove, reclaim, or require you to change a  username if we determine it is inappropriate, misleading, infringing, obscene, or otherwise  objectionable.

 

5. PROHIBITED ACTIVITIES 


You may only use the Site and Services for their intended purposes: managing projects,  documenting field work, storing and sharing job data, collaborating with your team, and  using our tools and AI features to support business operations. 


You may not use the Site or Services: 


• for any purpose that violates applicable law or regulation; 

• in connection with any commercial activity not expressly authorized by us; • in any way that interferes with the normal operation of the Site or Services or  imposes an unreasonable load on our infrastructure. 


Without limiting the foregoing, you agree not to


• Systematically retrieve data or other content from the Site to create a collection,  database, or directory without our written permission. 

• Engage in any deceptive, fraudulent, or misleading activity, including attempts to  obtain sensitive information such as passwords or API keys. 

• Attempt to bypass, disable, or interfere with any security-related features of the  Site, including access controls or usage limits.

• Use the Site or Services to harass, abuse, stalk, threaten, or otherwise harm others. • Misuse our support channels or submit false claims of abuse, bugs, or security  issues. 

• Upload or transmit any virus, worm, malware, Trojan horse, logic bomb, or other  harmful code. 

• Use automated tools (scrapers, crawlers, bots) to access the Site except through  documented, authorized APIs. 

• Impersonate any person or entity or misrepresent your affiliation with any person  or entity. 

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of  any part of the Services, except where permitted by law. 

• Copy, adapt, translate, or otherwise create derivative works based on the Site or  its software. 

• Use the Site or Services to monitor availability, performance, or functionality for  competitive analysis, benchmarking, or building a competing product.

• Collect or harvest email addresses or other contact information for the purpose of  sending unsolicited communications. 

• Sell or otherwise transfer your Account, profile, or access credentials. 


Any use of the Site or Services in violation of this Section may result in suspension or  termination of your Account and may expose you to civil and/or criminal liability. 


6. USER GENERATED CONTRIBUTIONS 


FieldGrid is a data-heavy platform. The Site and Services may allow you and other users  (including your teammates and employees) to submit, upload, store, or share content and  materials, including but not limited to: 


• job notes, project information, and work orders; 

• photos, videos, PDFs, drawings, and site documentation; 

• form submissions, checklists, and reports; 

• comments, messages, and other communications; 

• AI-assisted outputs generated from your inputs and project data 


(collectively, “Contributions”). 


Contributions may be visible to other users within your organization or workspace and,  depending on your configuration, to other third parties you authorize (e.g., clients or  subcontractors). Contributions will be handled in accordance with our Privacy Policy and  any applicable Supplemental Terms. 


By submitting or making Contributions available, you represent and warrant that: 


• You own or control all necessary rights in and to your Contributions, or you have  obtained all necessary permissions, consents, and licenses to use them and to  grant us the rights described in these Terms.

• Your Contributions do not infringe upon any third-party intellectual property,  privacy, publicity, or other rights. 

• Your Contributions are accurate, not misleading, and compliant with all  applicable laws and regulations. 

• Your Contributions are not defamatory, obscene, hateful, harassing, or otherwise  objectionable. 

• Your Contributions do not contain illegal content, including child sexual abuse  material or content intended to incite violence. 

• Your Contributions do not contain viruses, malware, or other harmful code. • Your Contributions do not violate these Terms or any applicable laws. 


You are solely responsible for your Contributions and for configuring who within your  organization can see them. We are not responsible for how your organization uses or  shares Contributions internally or externally. 


We may, but are not obligated to, monitor or review Contributions. We reserve the right  to remove or restrict access to any Contributions we determine, in our sole discretion, to  be inappropriate, illegal, or in violation of these Terms. 


7. CONTRIBUTION LICENSE 


You retain full ownership of your Contributions and any associated intellectual property  rights, subject to the rights you grant to us below. 


By uploading, submitting, or otherwise making Contributions available through the Site  or Services, you grant FieldGrid a non-exclusive, worldwide, royalty-free,  sublicensable, and transferable license to:

 

• host, store, process, and display your Contributions; 

• transmit your Contributions as necessary to provide the Services (including to  your authorized users, integrated tools, or processors); 

• use your Contributions to power features such as AI suggestions, automated  drafting, reporting, and analytics within your organization; 

• create aggregated or de-identified data sets derived from your Contributions for  product improvement, benchmarking, and analytics (in a manner that does not  identify you or your company). 


We do not claim ownership of your Contributions, and nothing in these Terms shall be  construed as restricting your ability to use your Contributions in your business or with  other tools. 


If you submit suggestions, feature requests, or feedback about the Site or Services  (“Feedback”), you agree that we may use such Feedback for any purpose (including  product development) without compensation or obligation to you, and you hereby assign  all rights in such Feedback to FieldGrid.


8. SOCIAL MEDIA AND THIRD-PARTY ACCOUNTS 


The Services may allow you to connect your Account with third-party platforms or  services (each, a “Third-Party Account”), such as: 


• Google Workspace (Drive, Calendar, etc.); 

• Microsoft 365; 

• Slack, Microsoft Teams, or other messaging tools; 

• Cloud storage providers; 

• SSO / identity providers. 


By linking a Third-Party Account, you represent and warrant that: 


• You are authorized to disclose your Third-Party Account credentials to us;

• Linking and granting us access does not violate the terms and conditions of that  Third-Party Account; 

• You understand we may access, store, and use certain information from that  Third-Party Account as permitted by your settings and our integrations. 


Depending on the integration, we may read, store, and/or synchronize data from your  Third-Party Account for use within FieldGrid (e.g., files, emails, contacts, calendars, or  messages). 


Your relationship with each third-party provider is governed solely by your agreement(s)  with that provider. We are not responsible for any acts or omissions of such third parties.  You can disable integrations at any time in your settings, but this may affect  functionality. 


9. SUBMISSIONS 


Any questions, comments, suggestions, ideas, proposals, or other information about the  Site or Services that you provide to us outside of the normal Contributions workflow  (collectively, “Submissions”) are considered non-confidential. 


You agree that: 


• FieldGrid shall own all rights, title, and interest in and to such Submissions;

• We may use and fully exploit the Submissions for any lawful purpose,  commercial or otherwise, without acknowledgment or compensation to you;

• You waive any moral rights you may have in such Submissions. 


You represent and warrant that your Submissions are original to you or that you have the  right to submit such Submissions and that the Submissions do not infringe any third-party  rights.


10. THIRD-PARTY WEBSITES AND CONTENT 


The Site and Services may contain links to third-party websites, resources, content, or  services (“Third-Party Websites” and “Third-Party Content”). We do not control and  are not responsible for Third-Party Websites or Third-Party Content. 


We do not: 


• monitor Third-Party Websites or Third-Party Content for accuracy, completeness,  or legality; 

• endorse any Third-Party Websites, Third-Party Content, products, or services. 


If you access Third-Party Websites or use Third-Party Content, you do so at your own  risk. Your use of Third-Party Websites is governed by their respective terms and policies,  not these Terms. 


Any transactions you engage in with third parties are solely between you and the  applicable third party. We are not liable for any loss or damage arising from your  interactions with Third-Party Websites or Third-Party Content.

 

11. SITE AND SERVICE MANAGEMENT 


We reserve the right, but not the obligation, to: 


1. Monitor the Site and Services for violations of these Terms. 

2. Take appropriate legal action, including reporting to law enforcement, for any  illegal or unauthorized use of the Site or Services. 

3. Refuse, restrict access to, limit the availability of, or disable any Contributions or  Accounts that, in our sole judgment, violate these Terms or pose a risk.

4. Remove or disable any files or content that are excessive in size or burdensome to  our systems. 

5. Manage the Site and Services in a manner designed to protect our rights and property and to ensure the proper functioning of the platform. 


12. PRIVACY POLICY

By using the Site or Services, you agree to be bound by our Privacy Policy, which is  incorporated into these Terms by reference. 


Please note that the Site and Services are hosted in the United States. If you access the  Site from outside the United States and your local laws govern data differently, you acknowledge that you are transferring your data to the United States and consent to such  transfer and processing. 


13. TERM AND TERMINATION

 

These Terms remain in full force and effect while you use the Site or Services. 


WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE  RESERVE THE RIGHT, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR  LIABILITY, TO DENY ACCESS TO AND USE OF THE SITE OR SERVICES  (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR  ANY REASON OR FOR NO REASON, INCLUDING, WITHOUT LIMITATION, FOR  BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT  CONTAINED IN THESE TERMS OR OF ANY APPLICABLE LAW OR  REGULATION. 


We may terminate your use of or participation in the Site or Services or delete your  Account and any content or data associated with it at any time, in our sole discretion,  without warning. 


If we suspend or terminate your Account, you may not register or create a new Account  under your name, a fake identity, or the name of any third party, even if you are acting on  behalf of that third party. 


In addition to termination, we reserve the right to pursue any legal or equitable remedies  available. 


14. MODIFICATIONS AND INTERRUPTIONS 


We reserve the right to: 


• change, modify, or remove the contents of the Site or Services at any time for any  reason; 

• modify, suspend, or discontinue all or part of the Services without notice.

 

We have no obligation to update any information on the Site. We will not be liable for  any modification, price change, suspension, or discontinuation of the Site or Services. 


We cannot guarantee the Site or Services will be available at all times. We may experience outages, infrastructure failures, maintenance windows, feature rollouts, or  other issues that result in interruptions or errors. 


You agree that we have no liability whatsoever for any loss, damage, or inconvenience  caused by your inability to access or use the Site or Services during any downtime or  discontinuance. Nothing in these Terms obligates us to maintain or support the Site or  Services or to provide updates.


15. GOVERNING LAW 


These Terms and your use of the Site and Services are governed by and construed in  accordance with the laws of the State of Delaware, without regard to its conflict of law  principles. 


You and FieldGrid agree to submit to the exclusive jurisdiction of the state and federal  courts located in Delaware for any dispute arising out of or relating to these Terms or the  Services, except as otherwise set forth in any applicable arbitration provision. 


16. DISPUTE RESOLUTION 


Informal Resolution 


To help control costs and encourage efficient resolution, you agree that before initiating  any legal claim or formal proceeding against us (other than those related to intellectual  property or injunctive relief), you will first contact us in writing at legal@fieldgrid.io and attempt to resolve the dispute informally. If the parties cannot resolve the dispute  within 60 days of such notice, either party may proceed with formal dispute resolution. 


Restrictions 


To the fullest extent permitted by law: 

• Arbitration shall be conducted on an individual basis only; 

• No class actions, class arbitrations, or representative actions are permitted;

• You and FieldGrid each waive the right to participate as a plaintiff or class  member in any purported class or representative proceeding.

 

Exceptions 


The following disputes are not subject to informal negotiation and binding arbitration: 


• Claims to enforce or protect a party’s intellectual property rights;

• Claims seeking injunctive or equitable relief; 

• Claims relating to unauthorized use, data theft, or security breaches where  emergency relief is sought. 


If a court determines that the arbitration limitations in this Section are unenforceable for a  particular claim, then that claim shall proceed exclusively in the courts specified in  Section 15.


17. CORRECTIONS 


The Site may contain information that includes typographical errors, inaccuracies, or  omissions, including, without limitation, descriptions, pricing, availability, or other  information. We reserve the right to correct any errors, inaccuracies, or omissions and to  change or update information at any time, without prior notice. 


18. DISCLAIMER 


THE SITE AND SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND  SERVICES IS AT YOUR SOLE RISK. 


TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL  WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION,  IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A  PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. 


WITHOUT LIMITATION, WE DO NOT WARRANT OR REPRESENT THAT: 


1. THE SITE OR SERVICES WILL BE SECURE, ERROR-FREE, OR  UNINTERRUPTED; 

2. ANY DEFECTS OR ERRORS WILL BE CORRECTED; 

3. THE CONTENT OR DATA PROVIDED THROUGH THE SERVICES WILL  BE ACCURATE, RELIABLE, OR COMPLETE; 

4. THE SERVICES WILL MEET YOUR REQUIREMENTS OR  EXPECTATIONS. 


FIELDGRID PROVIDES TOOLS, AUTOMATION, AND AI-ASSISTED FEATURES  THAT MAY GENERATE SUGGESTIONS, SUMMARIES, OR OTHER OUTPUTS.  SUCH OUTPUTS MAY CONTAIN ERRORS OR BE INACCURATE. YOU ARE  SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ANY OUTPUTS  AND FOR ALL DECISIONS MADE IN RELIANCE ON THEM. 


WE ARE NOT RESPONSIBLE FOR ANY THIRD-PARTY CONTENT, WEBSITES,  OR SERVICES LINKED TO OR INTEGRATED WITH THE SITE OR SERVICES.

 

19. LIMITATIONS OF LIABILITY 


TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE  OR OUR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS  BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT,  CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE  DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA,  BUSINESS INTERRUPTION, OR OTHER DAMAGES ARISING FROM OR 

RELATING TO YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE  BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN,  OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR  RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES  SHALL NOT EXCEED THE GREATER OF: 


• THE AMOUNT PAID BY YOU TO US FOR THE SERVICES IN THE THREE  (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

ONE HUNDRED U.S. DOLLARS (US $100)


SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED  WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES.  IF THOSE LAWS APPLY TO YOU, SOME OF THE ABOVE LIMITATIONS MAY  NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS. 


20. INDEMNIFICATION

 

You agree to defend, indemnify, and hold harmless FieldGrid, its subsidiaries, affiliates,  and all of their respective officers, directors, employees, contractors, and agents from and  against any and all claims, losses, liabilities, damages, costs, and expenses (including  reasonable attorneys’ fees) arising out of or relating to: 


1. Your use of the Site or Services; 

2. Your breach of these Terms; 

3. Your Contributions and Submissions; 

4. Your violation of any third-party rights, including intellectual property, privacy,  or publicity rights; 

5. Any harmful act toward any other user or third party with whom you interact via  the Services. 


We reserve the right, at your expense, to assume the exclusive defense and control of any  matter for which you are required to indemnify us, and you agree to cooperate in our  defense of such claims. 


21. USER DATA 


We will maintain certain data that you transmit to the Site or Services in connection with  operating and improving the platform, as described in our Privacy Policy. 


Although we perform routine backups, you are solely responsible for maintaining your  own copies and backups of any data or Contributions you submit. We are not liable for  any loss or corruption of data, and you waive any right of action against us arising from  any such loss or corruption.


If your subscription or Account terminates, we may, but are not obligated to, retain your  data for a limited period for legal, compliance, or backup purposes, after which it may be  deleted or anonymized. 


22. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES 


Visiting the Site, creating an Account, using the Services, sending us emails, or  completing online forms constitute electronic communications. You consent to receive  electronic communications and agree that all agreements, notices, disclosures, and other  communications we provide electronically satisfy any legal requirement that such  communication be in writing. 


YOU AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS,  ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF  NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR  COMPLETED THROUGH THE SERVICES.

 

You waive any rights or requirements under any laws requiring an original (non electronic) signature or the delivery or retention of non-electronic records. 


23. MISCELLANEOUS 


These Terms, together with any Supplemental Terms and policies posted on the Site or  otherwise provided to you, constitute the entire agreement between you and FieldGrid  with respect to the Services. 


Our failure to enforce any right or provision of these Terms shall not operate as a waiver  of such right or provision. 

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that  provision shall be deemed severable and shall not affect the validity or enforceability of  any remaining provisions. 


We may assign any or all of our rights and obligations under these Terms to others at any  time. You may not assign or transfer your rights or obligations without our prior written  consent. 


No joint venture, partnership, employment, or agency relationship is created between you  and FieldGrid as a result of these Terms or your use of the Services. 


You agree that these Terms will not be construed against us by virtue of having drafted them.
